SELLER POLICY (BEVEL)

This Seller Policy sets out the rules and obligations for all sellers (“Sellers”) using Bevel, the online marketplace operated by Brightvale Industrial Limited (“Bevel”, “we”, “us”, “our”).

By creating a Seller account or listing goods on Bevel, you agree to comply with this policy.

  1. Marketplace role

Bevel is a marketplace platform connecting Buyers and Sellers.

Sellers contract directly with Buyers. Bevel is not a party to any contract of sale.

Sellers are fully responsible for: · products listed · pricing and quotes · legal compliance · delivery and fulfilment · cancellations, returns, and refunds

Bevel does not take ownership or possession of any goods at any time.

  1. Eligibility and business requirements

Sellers must: · operate as a legitimate business or trader · provide accurate business information · maintain valid contact details · complete Stripe onboarding to receive payouts

Where applicable, Sellers must: · be VAT registered if legally required · provide their VAT registration number · comply with UK tax obligations

  1. Listings and product information

Sellers must ensure that all listings are: · accurate and not misleading · clearly described (including specifications, grade, dimensions where relevant) · priced correctly (excl. VAT unless otherwise stated) · expressed with clear units (e.g. per pallet, per tonne, per bag)

Listings must also include: · delivery coverage and lead times · any minimum order quantities · a clear returns and refunds policy

Sellers must ensure that their listings and returns policies comply with applicable consumer protection laws where selling to consumers.

Sellers must not list: · illegal goods · unsafe or non-compliant materials · counterfeit or misrepresented products

  1. Quotes and pricing

All transactions on Bevel are based on a quote system.

Sellers must: · respond to quote requests honestly and accurately · include all relevant costs (materials, delivery if applicable) · honour accepted quotes

Quotes must not be used to mislead Buyers or divert transactions off-platform.

  1. Orders and fulfilment

Once a Buyer accepts a quote and payment is made: · a binding contract is formed between Buyer and Seller · the Seller must fulfil the order as agreed

Sellers are responsible for: · delivery arrangements · ensuring goods match the description · communicating any delays promptly

  1. Delivery obligations

Sellers must: · provide accurate delivery pricing and timelines · ensure goods are delivered safely and as agreed · provide proof of delivery where appropriate

Delivery arrangements are between Seller and Buyer.

Sellers are solely responsible for delivery performance and any issues arising from delivery.

Bevel does not provide or guarantee delivery services.

  1. Cancellations, returns, and refunds

Sellers are responsible for handling all cancellations, returns, and refunds.

Sellers must comply with all applicable UK laws, including: · Consumer Contracts Regulations 2013 · Consumer Rights Act 2015

Where a Buyer is acting as a consumer, Sellers must: · honour applicable cancellation rights (including 14-day rights where relevant) · refund standard delivery costs where required by law · handle faulty, misdescribed, or non-compliant goods properly

Sellers may: · refuse or reduce refunds where goods have been used, installed, damaged, or are no longer in resaleable condition · exclude returns for bespoke or made-to-order goods where legally permitted

Sellers must clearly state their returns policy on each listing.

  1. Invoices and tax

Sellers are solely responsible for: · issuing invoices · issuing VAT invoices where applicable · ensuring VAT is correctly applied · complying with all tax obligations

Buyers may request invoices directly through the platform messaging system.

  1. Payments and payouts

Payments are processed through Stripe Connect or other third-party payment providers.

Sellers must: · complete all required verification and onboarding requirements · maintain accurate payout and payment information · maintain an active and valid Stripe account in order to transact or receive payouts through the platform

Bevel may charge platform commissions, transaction fees, or related service fees on completed orders.

Current fee structures are communicated through onboarding materials, onboarding communications, Seller Manuals, platform communications, or related platform documentation.

Current commission rates and fee structures may be updated from time to time. Sellers will be notified of material changes through the platform or associated communications before such changes take effect.

Continued use of the platform following notification of updated fees or policies constitutes acceptance of those changes.

Where a Seller does not agree to updated fees or policies, Bevel may suspend or terminate access to the platform in accordance with these Terms and policies.

Payouts may be delayed or withheld where necessary for: · fraud prevention · dispute investigation · compliance checks · reserve requirements · legal obligations

Refunds, chargebacks, fees, or payment provider deductions may be deducted from Seller balances.

Bevel does not hold or control Seller funds and payments are processed through third-party payment providers.

Bevel may provide onboarding guidance or assistance relating to Stripe account setup, but Sellers remain responsible for maintaining valid payout and payment information.

  1. Communication

Sellers must: · communicate professionally · respond to Buyer enquiries in a timely manner · use the platform messaging system for all transactions

Sellers must not: · attempt to move transactions off-platform · request off-platform payments · share contact details for the purpose of bypassing Bevel

  1. Disputes

Sellers must cooperate in resolving disputes.

Bevel may: · review messages and evidence · request documentation · hold payouts · take platform-level action

Bevel does not determine contractual liability between Buyers and Sellers and does not guarantee outcomes.

  1. Prohibited conduct

Sellers must not: · provide false or misleading information · fail to fulfil accepted orders without valid reason · engage in fraudulent activity · manipulate pricing or listings · breach applicable laws

  1. Platform enforcement

Bevel may take action against Sellers who breach this policy, including: · listing removal · account suspension · payout delays or holds · permanent removal from the platform

  1. Data protection

Sellers must: · use Buyer data only for fulfilment purposes · not use Buyer data for marketing without consent · comply with applicable data protection laws

  1. Updates

Bevel may update this Seller Policy at any time.

Continued use of the platform constitutes acceptance of updated terms.
