TERMS OF SERVICE (BEVEL)

These Terms of Service (“Terms”) govern your use of Bevel, the online marketplace operated by Brightvale Industrial Limited, trading as Bevel (“Bevel”, “we”, “us”, “our”). Registered office: 221 Mansel Road, Birmingham, West Midlands, United Kingdom, B10 9NW. Company Number: 16212471.

By creating an account, browsing listings, requesting a quote, or placing an order on Bevel (the “Service”), you agree to these Terms. If you do not agree, do not use the Service.

  1. Who we are & how to contact us

  1. Role of Bevel (we are a facilitator, not the seller)

2.1 Bevel provides an online marketplace where third-party Sellers list goods and Buyers request quotes and place orders. Contracts for goods are between Buyer and Seller only. Bevel is not the seller, manufacturer, supplier, or courier, and is not a party to sales or delivery contracts.

2.2 Sellers are solely responsible for product descriptions, pricing, quality, compliance, delivery arrangements, and fulfilment. Buyers are responsible for their purchase decisions.

2.3 Bevel facilitates listings, quote negotiations, payments, and communication between Buyers and Sellers.

2.4 Bevel may intervene solely to maintain marketplace safety, prevent fraud, and ensure compliance with these Terms.

  1. Eligibility & accounts

3.1 You must be 18+ to use the Service. 3.2 You must keep login details secure and account information accurate. 3.3 We may suspend or terminate accounts for fraud, breach, or risk to users.

  1. Orders, quotes, payments, and how funds flow

4.1 Quote-Based Ordering

4.1.1 All orders on Bevel use a Request a Quote process. Buyers must provide accurate information including: (a) delivery postcode; (b) quantity required; (c) preferred delivery or collection date; (d) access information (if applicable).

4.1.2 Sellers respond with a formal quote including: (a) material cost; (b) delivery cost (if requested); (c) total price; (d) availability.

4.1.3 A binding contract is formed only when the Buyer accepts the Seller’s quote inside the platform.

4.1.4 Bevel is not a party to the contract.

4.2 Payments

4.2.1 Payments are processed by Stripe. 4.2.2 Buyers pay the full quoted amount (materials + delivery if requested) inside the platform. 4.2.3 Bevel never holds Buyer funds directly. 4.2.4 Sellers must complete Stripe onboarding (KYC/KYB) to receive payouts.

4.3 Invoices

4.3.1 Automatic confirmations are issued when a Buyer accepts and pays a quote.

4.3.2 Buyers may request VAT invoices via team@bevelmarket.com . Bevel will forward the request to the Seller through the platform.

4.3.3 Sellers are solely responsible for issuing VAT invoices where legally required. Sellers must provide invoices within a reasonable timeframe and may upload them directly into the transaction message thread.

4.4 Payout timing, holds & reserves

Stripe or Bevel may delay or stage payouts, or apply reserves where necessary to: (a) verify KYC/KYB; (b) prevent fraud; (c) confirm delivery; (d) investigate complaints or chargebacks; (e) comply with law; (f) investigate breach of these Terms.

4.5 Set-off, chargebacks & negative balances

Refunds, chargebacks, and fees may be deducted from Seller balances or future payouts. Negative balances must be repaid immediately.

4.6 Fees & changes

Fees are shown before checkout or in our fee schedule. Fees may be updated prospectively and are non-refundable except where legally required.

  1. Delivery, cancellations & refunds

5.1 Delivery included in quotes

5.1.1 Delivery is not purchased separately. Delivery costs (if applicable) are included within the Seller’s quote.

5.1.2 Delivery arrangements are agreed between Buyer and Seller through Bevel messages.

5.1.3 Bevel does not provide, arrange, or guarantee delivery services.

5.1.4 Sellers must provide accurate delivery costing and reasonable delivery windows in their quotes.

5.1A Delivery Disputes & Investigations

5.1A.1 Bevel may: (a) request evidence of delivery; (b) review platform messages for dispute resolution; (c) require full or partial refunds where delivery failed; (d) pause or withhold payouts; (e) take reasonable action to protect platform integrity.

5.1A.2 This does not make Bevel a party to any delivery contract.

5.2 Cancellations

5.2.1 Buyers may cancel a quote request at any time before accepting a Seller’s quote. 5.2.2 After acceptance, cancellation is at the Seller’s discretion (subject to statutory rights).

5.3 Refunds & returns

Statutory UK consumer rights apply. Certain goods (e.g., custom, perishable, bulk) may not qualify for change-of-mind returns. Refunds are processed through Stripe to the original payment method.

5.4 Investigations & platform refunds

Bevel may instruct refunds or withhold payouts in cases of fraud, misdescription, non-delivery, or breach.

  1. Seller obligations (you list, you’re responsible)

Sellers must:

6.1 Comply with UK law (product safety, fair trading, GDPR). 6.2 Provide accurate product descriptions. 6.3 Respond to quote requests clearly and honestly. 6.4 Honour accepted quotes and fulfil orders promptly. 6.5 Provide accurate pricing and delivery costs and not mislead Buyers. 6.6 Arrange delivery only after quote acceptance and payment. 6.7 Cooperate with investigations. 6.8 Issue refunds where Bevel reasonably determines delivery or order failure. 6.9 Handle VAT and taxes including issuing VAT invoices where required by law.

Bevel may suspend, edit, or remove listings, delay payouts, or terminate accounts for breach, fraud, or safety concerns.

6.1 Non-Circumvention & Anti-Evasion Rules

6.1.1 Users must not complete, negotiate, or arrange transactions outside Bevel. 6.1.2 Users must not exchange contact details for the purpose of bypassing Bevel’s payment system. 6.1.3 Sellers must not underprice items or quotes to divert Buyers off-platform. 6.1.4 Users must not solicit or accept off-platform payments of any kind. 6.1.5 Bevel may access, review, and monitor all messages, including negotiations, solely for fraud prevention, dispute resolution, and safety. 6.1.6 Users must not expect privacy within Bevel’s messaging or negotiation system. 6.1.7 Bevel may freeze payouts, suspend accounts, remove listings, recover lost fees, or take legal action in cases of circumvention or fraud.

  1. Prohibited uses

You must not list illegal, unsafe, or infringing goods; post harmful content; bypass platform fees; or misuse the service.

  1. Content & IP

You retain rights to your content but grant Bevel a licence to use it to operate and promote the platform. You must not upload content you do not own.

  1. Disputes, holds & our limited role

Buyer–Seller disputes should first be resolved between the parties. Bevel may assist, hold payouts, or review evidence but is not obligated to resolve disputes. ADR may be used where available.

  1. Liability

Bevel does not exclude liability for death, personal injury, or fraud. Bevel is not liable for product quality, legality, delayed delivery, courier issues, or indirect losses.

Bevel’s total liability is limited to the service fees paid by you in the preceding 12 months.

  1. Data protection

11.1 Your data is handled in accordance with our Privacy Policy. 11.2 Buyers and Sellers may exchange delivery addresses only after a quote is accepted. 11.3 Bevel may review delivery-related messages solely for dispute resolution. 11.4 Sellers must not use Buyer data for marketing without explicit consent.

  1. Taxes

Sellers are responsible for VAT and tax compliance, including issuing VAT invoices.

  1. Force majeure

We are not liable for delays caused by events outside our control.

  1. Third-party services

Use of payments is subject to Stripe’s terms. Sharetribe and Stripe determine payout windows, holds, and applicable limits.

  1. Changes to these Terms

We may amend these Terms by posting updated versions on the Service. Continued use constitutes acceptance.

  1. Governing law & venue

These Terms are governed by the laws of England and Wales. UK consumers may bring claims in their home jurisdiction.
